These Terms govern access to and use of OOCanada.ca and its business directory, promotional, and supplier discovery services (the “Platform”).

1. COMPANY INFORMATION

OOCanada.ca is owned and operated by Montreal Espace Artificial Intelligence Inc., Montreal, Quebec, Canada (“OOCanada.ca,” “we,” “our,” or “us”).

2. DEFINITIONS

“User” means any person or organization that accesses or uses the Platform, including Buyers and Suppliers.

“Supplier” means a User that creates, submits, or maintains a business listing, profile, or promotional content on the Platform.

“Buyer” means a User that searches, browses, or contacts a Supplier through the Platform.

“Listing” means a Supplier’s business profile, including all text, images, certifications, and other content submitted for publication.

“Membership” means a paid subscription tier (including Professional and Global Export, or any successor tiers) that grants a Supplier specified visibility and promotional features on the Platform.

3. PLATFORM PURPOSE

OOCanada.ca is a business directory, promotional, and supplier discovery platform.

We provide visibility, exposure, marketing support, and supplier discovery opportunities only.

OOCanada.ca is not a broker, distributor, sales representative, marketplace operator, escrow service, logistics provider, importer, exporter, or transaction intermediary.

4. USER RESPONSIBILITIES

Users are responsible for complying with all applicable laws and regulations.

Buyers must conduct their own due diligence before entering into any business relationship.

Suppliers are responsible for maintaining accurate and lawful Listings, and for promptly updating or removing information that becomes inaccurate or outdated.

5. SUPPLIER RESPONSIBILITIES

Suppliers are solely responsible for the accuracy, legality, ownership, and content of all submitted materials.

By submitting content to OOCanada.ca, Suppliers represent and warrant that they own or have obtained all necessary rights, licenses, permissions, and authorizations to publish such content.

Suppliers agree not to submit false, misleading, unlawful, defamatory, fraudulent, or infringing content.

6. NO GUARANTEE OF RESULTS

OOCanada.ca provides promotional visibility and supplier discovery services only.

We do not guarantee sales, revenue, leads, customer inquiries, buyer contacts, requests for quotation, website traffic, export opportunities, orders, contracts, business relationships, transactions, business growth, search engine rankings, return on investment, or commercial success of any kind.

We do not guarantee that any buyer, distributor, importer, investor, partner, or other third party will contact a User, respond to a Listing, request information or a quotation, negotiate, place an order, enter into a contract, or complete any transaction.

Business results depend on many factors beyond our control, including market conditions, User activity, pricing, product or service demand, competition, business reputation, and the actions of third parties.

7. FEES AND PROMOTIONAL SERVICES

Any Membership, listing, featured placement, advertising, translation, promotional, or other fees charged by OOCanada.ca, where applicable, are paid solely for access to the promotional services, visibility, exposure, and related features described at the time of purchase.

Membership and promotional fees pay for visibility, exposure, and profile features only. They do not purchase or guarantee leads, buyer contacts, inquiries, sales, orders, contracts, transactions, export opportunities, revenue, website traffic, search engine rankings, return on investment, or any other business result. This disclosure is also displayed alongside pricing on the Platform.

Payment of a fee does not make OOCanada.ca a broker, sales representative, agent, partner, or party to any business relationship or transaction between Users.

Refunds, credits, cancellations, and payment-related matters are governed by the Payment & Refund Policy, published on the Platform, and any applicable law.

8. NO ENDORSEMENT

The appearance of any company, Supplier, product, service, advertisement, certification, or Listing on OOCanada.ca does not constitute endorsement, approval, recommendation, verification, certification, or validation by OOCanada.ca.

Where a Listing displays a “verified” badge, this indicates only that OOCanada.ca has reviewed the Listing against its Supplier Verification Standards at the time of review — it is not a guarantee of the Supplier’s ongoing conduct, solvency, or the quality of its goods or services.

9. NO TRANSACTION HANDLING

OOCanada.ca does not process payments between Buyers and Suppliers, negotiate contracts, arrange shipments, provide escrow services, inspect or fulfill products, collect commissions, or participate in transactions between Users. All business dealings occur solely between the Users involved.

OOCanada.ca is not responsible for the success, failure, performance, or outcome of any business relationship or transaction between Users, including non-payment, non-delivery, delays, quality issues, warranty claims, contractual disputes, or other commercial disagreements.

10. DUE DILIGENCE

Users are solely responsible for evaluating the legitimacy, reliability, quality, suitability, and legal compliance of any Supplier, Buyer, product, or service listed on the Platform.

11. THIRD-PARTY LINKS

OOCanada.ca may contain links to external websites and third-party services. We assume no responsibility for their content, services, products, privacy practices, or business activities.

12. INTELLECTUAL PROPERTY

All trademarks, logos, branding, graphics, website content, databases, software, text, and materials belonging to OOCanada.ca are protected by intellectual property laws. Unauthorized reproduction, distribution, or use is prohibited.

Suppliers retain ownership of content they submit, and grant OOCanada.ca a non-exclusive, royalty-free license to host, display, translate, and promote that content on the Platform and in related marketing for as long as the Listing remains active.

13. RIGHT TO REMOVE CONTENT

OOCanada.ca reserves the right to reject, remove, edit, suspend, disable, or terminate any Listing, account, or content at its sole discretion, including where content violates these Terms, the Acceptable Use Policy, or applicable law. Where reasonably practical, we will provide notice of removal, though prior notice is not required in cases of suspected fraud, illegality, or platform security risk.

14. DISCLAIMER OF WARRANTIES

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. OOCanada.ca expressly disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, OOCanada.ca and Montreal Espace Artificial Intelligence Inc., including their directors, officers, employees, contractors, affiliates, and partners, shall not be liable for any direct, indirect, incidental, consequential, special, punitive, exemplary, or economic damages arising from or relating to the use of the Platform.

Where liability cannot be fully excluded under applicable law, OOCanada.ca’s total aggregate liability to a User arising out of or relating to the Platform shall not exceed the total fees paid by that User to OOCanada.ca in the twelve (12) months preceding the claim.

16. INDEMNIFICATION

Users agree to defend, indemnify, and hold harmless OOCanada.ca and Montreal Espace Artificial Intelligence Inc. from any claims, damages, losses, liabilities, judgments, penalties, costs, and legal expenses arising from User content, Listings, transactions, violations of law, intellectual property disputes, misrepresentations, or violations of these Terms.

17. FORCE MAJEURE

OOCanada.ca shall not be liable for delays, interruptions, failures, data loss, or service disruptions caused by events beyond its reasonable control, including cyberattacks, internet outages, natural disasters, labor disputes, government actions, acts of war, or technical failures.

18. NO AGENCY RELATIONSHIP

Nothing in these Terms creates a partnership, agency, joint venture, employment relationship, brokerage relationship, franchise relationship, or representative authority between OOCanada.ca and any User.

19. GOVERNING LAW

These Terms shall be governed by and interpreted under the laws of Quebec and the applicable federal laws of Canada.

20. DISPUTE RESOLUTION

The parties agree to first attempt to resolve disputes through good-faith negotiations. Any legal proceeding arising from these Terms shall be brought exclusively before the competent courts of Quebec, Canada.

21. SEVERABILITY

If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be interpreted to give effect to its intent to the maximum extent permitted by law.

22. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, the Acceptable Use Policy, the Payment & Refund Policy, the Supplier Verification Standards, and (for international Users) the International Users Policy, each as published on the Platform, constitute the entire agreement between Users and OOCanada.ca regarding use of the Platform. In the event of a conflict specific to international access, the International Users Policy governs on that point.

23. CHANGES TO TERMS

OOCanada.ca reserves the right to modify these Terms at any time. Material changes will be reflected by an updated “Last Updated” date, and continued use of the Platform after changes are published constitutes acceptance of the revised Terms.
